1. Introductory Provisions

1.1. These General Terms and Conditions (hereinafter "GTC") govern the mutual rights and obligations of the contracting parties arising in connection with or on the basis of a purchase contract concluded between the Seller and the Buyer through the online store at painto.cz.

1.2. The Seller is the company baufloor trade s.r.o., Company ID: 01494929, VAT ID: CZ01494929, with its registered office at Dukelskych bojovniku 3410/144a, 671 81 Znojmo, Czech Republic, registered in the Commercial Register maintained by the Regional Court in Brno, File No. C 78304 (hereinafter the "Seller").

1.3. The Buyer is any natural or legal person who enters into a purchase contract with the Seller through the e-shop. The Buyer may act as:

  • Consumer — a natural person who does not act in the course of their business or professional activity, as defined under Directive 2011/83/EU of the European Parliament and of the Council on consumer rights.
  • Business customer — a person acting in the course of their business or professional activity.

1.4. Legal relations between the Seller and the Buyer are governed by these GTC and further by:

  • the applicable laws of the Czech Republic,
  • Directive 2011/83/EU on consumer rights (for consumer transactions),
  • Regulation (EU) 2016/679 of the European Parliament and of the Council (General Data Protection Regulation — GDPR).

1.5. The PAINTO.cz e-shop specialises in the sale of professional painting tools and accessories, both for end consumers (B2C) and business customers (B2B).

1.6. By submitting an order, the Buyer confirms that they have read and agree to these GTC. The Buyer is sufficiently informed of these GTC before concluding the contract and has the opportunity to review them.

2. User Account

2.1. The Buyer may make purchases after registering a user account on the e-shop. During registration, the Buyer is obliged to provide accurate and truthful information and to update this information when it changes.

2.2. Access to the user account is secured by a username (email) and password. The Buyer is obliged to maintain confidentiality regarding login credentials and not allow third parties to use them.

2.3. The Buyer is not authorised to allow third parties to use their account.

2.4. The Seller may cancel a user account, particularly if:

  • the Buyer has not used their account for more than 12 months,
  • the Buyer breaches their obligations under the purchase contract or these GTC,
  • the Buyer provided false information during registration,
  • the Buyer repeatedly failed to pay for orders or violated payment terms.

2.5. The Buyer acknowledges that the user account may not be available continuously, particularly due to necessary maintenance of the Seller's hardware and software.

3. Conclusion of the Purchase Contract

3.1. The presentation of goods on the e-shop is for informational purposes only and the Seller is not obliged to conclude a purchase contract for such goods.

3.2. To order goods, the Buyer selects the desired products, chooses a delivery method and payment method, and submits the order. Submitting the order constitutes an offer to conclude a purchase contract.

The minimum order value is EUR 80 (excl. VAT). Orders below this value cannot be submitted.

3.3. The Seller confirms receipt of the order by email to the Buyer's address. This confirmation constitutes acceptance of the offer. The purchase contract is concluded at the moment the order confirmation is delivered to the Buyer.

3.4. The Seller reserves the right not to confirm or to reject an order, particularly if:

  • the goods are unavailable (no longer manufactured, supplied, or in stock),
  • there is an obvious error in the price of the goods (significant discrepancy from the usual price),
  • the Buyer is deemed unreliable (unpaid previous orders).

3.5. The Buyer agrees to the use of distance communication means when concluding the purchase contract. Costs incurred by the Buyer when using distance communication means (internet, telephone) are borne by the Buyer.

3.6. Any provisions in the purchase contract shall take precedence over conflicting provisions of these GTC.

4. Prices and Payment Terms

4.1. Prices of goods in the e-shop are displayed both including and excluding VAT. The binding price is the one displayed for the goods at the time the order is submitted.

4.2. Discounts on goods may not be combined with each other, unless stated otherwise for a specific promotion.

4.3. The Seller accepts the following payment methods:

  • Bank transfer — advance payment based on a proforma invoice. Goods are dispatched after the payment is credited to the Seller's account.
  • QR payment — instant payment via a QR code generated at checkout.
  • Invoice with payment terms — available only to approved business customers (B2B). Standard payment term is 14 days from the invoice date, unless agreed otherwise.

4.4. In the case of bank transfer, the purchase price is due within 5 business days of concluding the purchase contract. If the payment is not credited to the Seller's account within this period, the Seller is entitled to withdraw from the contract.

4.5. In the case of invoice payment (B2B), the standard payment term is 14 days. In the event of late payment, the Seller is entitled to charge statutory interest on arrears and to suspend further deliveries.

5.6. If the Buyer fails to accept the shipment and it is returned to the Seller, the Seller is entitled to charge costs for repeated delivery. If the Buyer repeatedly fails to accept the shipment, the Seller is entitled to withdraw from the contract.

6. Right of Withdrawal

6.1. Consumer

In accordance with Directive 2011/83/EU on consumer rights, the Consumer has the right to withdraw from the purchase contract without giving any reason within 14 days of receiving the goods.

The 14-day withdrawal period begins on the day following the day of receipt of the goods. It is sufficient if the withdrawal is sent on the last day of the period.

6.2. The Consumer shall send the withdrawal to the Seller (email info@painto.cz or by post to the registered office). The Seller shall confirm receipt of the withdrawal without undue delay.

6.3. In the event of withdrawal, the Buyer is obliged to return the goods to the Seller within 14 days of withdrawal, complete, undamaged, and in original packaging. The cost of returning the goods is borne by the Buyer.

6.4. The Seller shall refund all payments received from the Buyer, including the cost of delivery (corresponding to the cheapest delivery method offered), within 14 days of withdrawal, using the same payment method. The Seller is not obliged to refund payments until the goods are received back or the Buyer proves they have been dispatched.

6.5. The Buyer is liable for any diminished value of the goods resulting from handling the goods beyond what is necessary to establish their nature, characteristics and functioning.

6.6. The Consumer cannot withdraw from the contract in the following cases (in accordance with Directive 2011/83/EU, Article 16):

  • goods made to the Buyer's specification or clearly personalised,
  • goods which have been inseparably mixed with other items after delivery,
  • sealed goods not suitable for return due to health protection or hygiene reasons, where the seal has been broken after delivery.

6.7. Business Customer

Business customers (B2B) do not have a statutory right to withdraw from the contract within 14 days. Any return of goods is possible only by individual agreement with the Seller.

7. Rights from Defective Performance (Complaints and Warranty)

7.1. The rights and obligations of the contracting parties regarding rights from defective performance are governed by the applicable legal regulations.

7.2. Consumer

The Seller warrants to the Consumer that the goods are free from defects at the time of receipt. The Consumer is entitled to exercise a right from a defect that occurs within 24 months of receipt, in accordance with Directive 1999/44/EC and its successor provisions under Directive 2019/771/EU on certain aspects concerning contracts for the sale of goods.

7.3. If a defect manifests within 12 months of receipt, it is presumed that the goods were already defective at the time of receipt, unless the nature of the goods or defect precludes this.

7.4. The Consumer has the right to request:

  • repair of the goods,
  • replacement of the goods or a component thereof,
  • a reasonable discount on the purchase price,
  • withdrawal from the contract (in case of a material breach of contract).

For business customers (B2B), the Seller provides a commercial warranty of 6 months from receipt of the goods, unless stated otherwise for specific products. Complaint conditions for business customers are set out in the Complaints Procedure.

7.6. The detailed procedure for filing a complaint is set out in the Complaints Procedure, which forms an integral part of these GTC.

8. Liability for Defects

8.1. The Buyer is obliged to inspect the goods immediately upon receipt and notify the Seller of any discovered defects without undue delay. Later complaints about obvious defects (damaged packaging, missing items) may not be accepted.

8.2. For transported goods, the Buyer is obliged to check the condition of the shipment upon receipt from the carrier. The Buyer is entitled to refuse to accept a shipment that shows signs of damage. Damage must be recorded in a report with the carrier.

8.3. The following shall not be considered defects in the goods:

  • wear resulting from normal use,
  • damage caused by improper use, storage or maintenance contrary to the manufacturer's instructions,
  • mechanical damage caused by the Buyer,
  • minor variations in colour or surface texture that are typical for the given type of product (painting tools).

8.4. The Buyer is obliged to use the goods in accordance with their intended purpose and the manufacturer's instructions. Failure to follow these instructions may be grounds for rejecting a complaint.

9. Force Majeure

9.1. Neither party shall be liable for failure or delay in performing its obligations if such failure or delay results from circumstances of force majeure, i.e. circumstances beyond their control that could not have been reasonably foreseen at the time of concluding the contract.

9.2. Force majeure events include in particular:

  • natural disasters (floods, earthquakes, fires),
  • pandemics and epidemics,
  • armed conflicts, terrorist attacks, civil unrest,
  • embargoes, sanctions, governmental import/export bans,
  • nationwide strikes, power outages or telecommunications failures.

9.3. The party invoking force majeure shall notify the other party without undue delay and make reasonable efforts to minimise the impact. If the impediment lasts longer than 60 days, either party is entitled to withdraw from the contract.

10. Special Provisions for Business Customers (B2B)

10.1. These provisions apply exclusively to Buyers who provide a Company ID (business registration number) when ordering and act in the course of their business activity.

10.2. Invoicing and payment terms: The standard payment term is 14 days from the date of issue. Extended payment terms are possible only by written agreement. In the event of late payment, the Seller is entitled to charge interest on arrears of 0.05% of the outstanding amount per day of delay.

10.3. Invoice payment: Payment by invoice with a payment term is available only to approved business customers. Approval is at the Seller's discretion based on business history, creditworthiness and other criteria. The Seller reserves the right to revoke this privilege at any time.

10.4. Employee limits: If the Buyer allows their employees to place orders, the Buyer is responsible for setting permissions and limits within the user account. The Seller is not liable for orders placed by the Buyer's employees.

10.5. Account suspension for non-payment: If the Buyer fails to pay an invoice within 30 days after the due date, the Seller is entitled to suspend the Buyer's user account and halt all further deliveries until all outstanding obligations are settled.

10.6. Business customers are not entitled to the statutory 14-day right of withdrawal under Directive 2011/83/EU, nor to consumer protection provisions.

10.7. In business relations between the Seller and the business customer, provisions regarding surprising clauses shall not apply.

11. Personal Data Protection

11.1. The Seller processes the Buyer's personal data in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR).

11.2. The Seller processes the following personal data: name and surname, residential/registered address, Company ID and VAT ID (for business customers), email address, telephone number, and order data. 13.3. If any provision of these GTC is invalid, ineffective or inapplicable (or becomes so), the provision closest in meaning to the invalid provision shall apply. The invalidity or ineffectiveness of one provision does not affect the validity of the remaining provisions (severability clause).
